NEW YORK, Aug. 08, 2022 (GLOBE NEWSWIRE) — Bragar Eagel & Squire, PC, a nationally recognized shareholder rights law firm, has launched an investigation to determine whether the officers or directors of iRobot Corporation (NASDAQ: IRBT) (“iRobot”) breached their fiduciary duties or violated federal securities laws in connection with the company’s acquisition by Amazon (NASDAQ: AMZN) (“Amazon”) .

On August 5, 2022, iRobot announced that it had reached an agreement to be acquired by Amazon in an all-cash deal with an enterprise value of $5.2 billion. Under the merger agreement, Amazon will acquire iRobot for $61 per share. The deal is expected to close in 2023.

Bragar Eagel & Squire is concerned that iRobot’s board oversaw an unfair process and ultimately agreed to an inadequate merger deal. Accordingly, the company is reviewing all relevant aspects of the agreement and is committed to ensuring the best possible outcome for iRobot shareholders.
